1. Acceptance of Terms

Welcome to Baduk. By accessing or using our website, platform, and AI-powered lead prioritization services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Baduk ("we," "our," or "us"). We reserve the right to modify these Terms at any time. Changes take effect when posted. Your continued use of the Service constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you may need to create an account. You agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activity under your account. Notify us immediately at support@baduk.ai if you suspect unauthorized use of your account.

4. Use of the Service

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service in any manner that violates applicable laws or regulations.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Access the Service through automated means (bots, scrapers, etc.) without our written consent.
  • Upload or transmit malicious code, viruses, or any harmful content.
  • Use the Service to harass, abuse, or harm others, or to send unsolicited communications.

5. Intellectual Property

All content, features, functionality, software, and technology associated with the Service—including but not limited to text, graphics, logos, AI models, algorithms, and user interfaces—are owned by Baduk or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.

6. Your Data

You retain ownership of any data you upload or input into the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide and improve the Service. We handle Your Data in accordance with our Privacy Policy.

You are solely responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it.

7. Payment & Billing

Certain features of the Service may require a paid subscription. By subscribing, you agree to pay all applicable fees. All fees are non-refundable except as required by law or as otherwise stated in a specific plan or agreement. We reserve the right to change pricing with reasonable notice.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any AI-generated predictions or insights will be accurate or complete. You use the Service at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BADUK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Baduk and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, indemnification, and limitations of liability.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware. You waive any right to a jury trial or to participate in a class action.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Baduk regarding the Service and supersede all prior agreements and understandings.
